TRADEMARKS AND MATERIALS
As a Sponsor and/or Speaker, you are granting The Nest Climate Campus and its producer NXT Events Media Group, LLC the right to use your trade names, logo designs, trademarks, company descriptions, photographs, and video as provided, recorded and filmed for marketing materials. These assets may be used in any medium of distribution such as, but not limited to advertising, promotional products, website, or marketing materials distributed solely in connection with The Nest Summit.
INDEMNITY
As a Sponsor and/or Speaker, you will indemnify, defend, and hold The Nest Climate Campus and its producer NXT Events Media Group, LLC harmless from and against any claims relating directly or indirectly to or arising out of, content provided to The Nest Summit for marketing purposes such as, but not limited to website, advertising, and other marketing vehicles.
For those being filmed at the Javits Center, The Nest Climate Campus and its producer NXT Events Media Group, LLC will not be responsible for damage to or loss of property belonging to the Sponsor and/or Speaker, its employees, contractors, or agents or for personal injury to the Sponsor's and/or Speaker’s employees, contractors, agents, directors, or invitees except to the extent that claims may be solely and directly attributed to willful misconduct or gross negligence of The Nest Climate Campus and its producer NXT Events Media Group, LLC and its employers, directors, or officers.
LIMITATION OF LIABILITY
In no event shall either party be liable to the other party for any consequential, incidental, indirect, or punitive damages regardless of whether such liability results from a breach of contract, breach of warranties, tort, strict liability, or otherwise.
TERM
Term is effective immediately for a period of one year. For Sponsors, sponsorship fees are due upon receipt and are non-refundable.
DISAGREEMENT
In the case of a disagreement at any point, the parties will refer the matter to an independent arbitrator appointed by mutual agreement.
MISCELLANEOUS
This Agreement supersedes any or all prior oral or written forms of understanding between the Sponsor and/or Speaker and The Nest Climate Campus and its producer NXT Events Media Group, LLC. This Agreement shall be governed by and executed in accordance with the laws of the State of Connecticut applicable to agreements made and to be performed entirely within this state.
FORCE MAJEURE
In no event shall The Nest Climate Campus and its producer NXT Events Media Group, LLC be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; it being understood that The Nest Summit shall use reasonable efforts to resume performance as soon as practicable under the circumstances.
